Separate your price from your cash. Decide the amount you need in hand at closing, not just the headline. A buyer can often meet your number on paper by moving part of it into a note or an earnout paid later, and an offer that “meets the price” may still miss what you actually need. Fix the records, then go to market. This is the best case, and the most common.

The gap is a soft year. Earnings dipped and your number assumes they recover. You can sell on today’s earnings, or wait until a buyer can see a recovery in the results, usually a full year of them. Waiting has its own risks, from your health to the market, so treat it as a real choice rather than a default.

The gap is between your need and the market. This is the hard one. Either the plan behind the number changes, or the business does: reducing owner dependence, adding contracted revenue and cleaning up the books are the levers that move what a buyer pays per dollar, and they take time.

What doesn’t work is going to market hoping a buyer won’t notice. Diligence findings, financing and fatigue from a long process are the other usual causes, and they often feed back into price.

How do I know if my asking price is realistic? Test it the way a buyer will: verified earnings, the most recent twelve months, what a lender would support and how much you need in cash at closing.
