That is true, and it is the half of the story that gets told to sellers.<\/p><p>Here is the other half. As of the first quarter of 2026, PitchBook counted <strong>13,325 US private-equity-backed companies sitting in fund inventory<\/strong>. Of those, <strong>26.9% have been held for seven years or longer, and another 34.1% for four to six years<\/strong>. Firms are not only shopping. They are also holding a record stack of companies they bought years ago and have not been able to sell.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-de531d4 elementor-widget elementor-widget-text-editor\" data-id=\"de531d4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>Both facts land on your deal at the same time. One makes a buyer eager. The other makes a buyer impatient. Which one you are dealing with depends on a date the buyer knows and you usually do not.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0858087 elementor-widget elementor-widget-heading\" data-id=\"0858087\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">I. What a Fund's Clock Actually Is<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-96ef6a9 elementor-widget elementor-widget-text-editor\" data-id=\"96ef6a9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\">A private equity fund is not a permanent company. It is a fixed-life vehicle, and that life is written into a contract with its investors.<\/p><p>The typical structure runs about ten years: roughly the first five to invest the capital, the remaining years to grow what was bought and sell it. Investors \u2014 pension funds, endowments, family offices \u2014 commit money on the understanding that it comes back within that window.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4a659a9 elementor-widget elementor-widget-text-editor\" data-id=\"4a659a9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\">That window has been stretching. As Foley &amp; Lardner put it in a July 2026 review of the market, a holding period that used to run five to seven years is now &#8220;more and more stretching to eight or ten,&#8221; against a time when sponsors expected to exit in three to five. Valuations got harder to agree on, the IPO window stalled, and rates jumped.<\/p><p>When a fund runs late, the pressure does not disappear. It gets redirected \u2014 into how the sponsor buys, what it will pay, and how it structures the deal in front of it. Which means it gets redirected into your transaction.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-69ced21 elementor-widget elementor-widget-text-editor\" data-id=\"69ced21\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<div style=\"background: #fdf6ec; border-left: 5px solid #d97706; padding: 20px 24px; border-radius: 4px; margin: 8px 0;\"><strong style=\"color: #d97706; font-size: 12px; letter-spacing: 1.5px; text-transform: uppercase;\">Key Point<\/strong><div style=\"margin-top: 8px; color: #444; font-style: italic;\">Your cash at closing is a price. Your rollover equity is a bet on someone else&#8217;s fund calendar. One Firm, Four Positions on the Clock<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0ae3079 elementor-widget elementor-widget-text-editor\" data-id=\"0ae3079\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom: 20px;\">This is easier to see in a real portfolio than in the abstract.<\/p><p>A lower-middle-market private equity firm out of Cleveland and Dallas managing $3.2 billion in committed capital, investing in business services, technology, specialty manufacturing and distribution \u2014 squarely the kind of firm that buys companies in the size range we see often. Its own 2026 newsroom shows four different clock positions running side by side:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e11c25c elementor-widget elementor-widget-text-editor\" data-id=\"e11c25c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li style=\"margin-bottom: 12px;\"><strong>Fresh capital.<\/strong> On June 16, 2026, it announced it had hit the hard cap on two new funds totaling more than $1.1 billion, including its fourth private equity fund. New fund, new ten-year clock, year zero.<\/li><li style=\"margin-bottom: 12px;\"><strong>A brand-new platform.<\/strong> On May 28, 2026, it acquired a mobile diagnostic imaging provider, as a new platform investment. That company is at the very start of its hold.<\/li><li style=\"margin-bottom: 12px;\"><strong>Platforms in active add-on mode.<\/strong> Marco Sealing Solutions acquired Pride Seals in May 2026 and Rocket Seals in July 2026. Premier Biotech acquired GH Solutions in April 2026, then NexScreen and TransMed in June. These are mid-hold platforms buying companies to build scale.<\/li><li><strong>A mature asset that needed more time.<\/strong> On April 1, 2026, it closed a single-asset continuation fund, roughly $405 million in commitments, for its portfolio company Proceed, to support what it called the next phase of growth.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c39a454 elementor-widget elementor-widget-text-editor\" data-id=\"c39a454\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom: 20px;\">That last one is the position most sellers have never heard of and should understand best.<\/p><p style=\"margin-bottom: 20px;\">A continuation vehicle is what a sponsor does when an asset it likes has outlived the fund that owns it. Rather than sell to a third party, the sponsor raises a new pool of capital to buy the company out of the old fund and keep running it. The original investors get their money back. The company keeps going. And the sponsor sits on both sides of that transaction.<\/p><p>This is not a fringe manoeuvre anymore. According to Evercore data reported by PitchBook in July 2026, <strong>total secondary market volume passed $120 billion in the first half of 2026, a 20% jump over the previous record<\/strong>. Single-asset continuation vehicles alone accounted for <strong>$34 billion<\/strong> \u2014 more than half of all sponsor-led volume in the period. The buyer knows exactly what it wants and can move quickly, but has done this often enough to be disciplined on price.<\/td><\/tr><tr style=\"background:#f5f6f8;\"><td style=\"padding:12px 14px;vertical-align:top;\">Year 6\u20138<\/td><td style=\"padding:12px 14px;vertical-align:top;\">Add-on pace accelerates noticeably; the sponsor talks about scale and a next chapter<\/td><td style=\"padding:12px 14px;vertical-align:top;\">Often the fastest close available, because an exit window is being built. The speed is real. It tends to be paid for in structure rather than in price.<\/td><\/tr><tr style=\"background:#ffffff;\"><td style=\"padding:12px 14px;vertical-align:top;\">Year 8+<\/td><td style=\"padding:12px 14px;vertical-align:top;\">Fund is past its stated term or has been extended; a continuation vehicle is on the table<\/td><td style=\"padding:12px 14px;vertical-align:top;\">Your rollover is most likely to be re-priced in a sponsor-led transaction rather than cashed out in a sale to an unrelated buyer.<\/td><\/tr><\/tbody><\/table><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9c9e70c elementor-widget elementor-widget-text-editor\" data-id=\"9c9e70c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"font-size:14px;color:#666;\">Positions are read from a sponsor&#8217;s own disclosed fund closings, platform acquisitions and add-on announcements. These signals are directional, not a rule \u2014 the reliable way to place a buyer is to ask.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f775fca elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"f775fca\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-fb4402b elementor-widget elementor-widget-heading\" data-id=\"fb4402b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">III. The Same Offer, Two Different Outcomes<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b7568fd elementor-widget elementor-widget-text-editor\" data-id=\"b7568fd\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\">Run the arithmetic on your own business. The numbers below are an illustration, not a quote and not a market benchmark \u2014 substitute your own.<\/p><p style=\"margin-bottom:20px\">Say your company produces $2 million of EBITDA and you receive an offer at 6.0x, or $12 million of enterprise value. The structure is 75% cash at closing and 25% rolled into platform equity. That is $9 million in your account and $3 million on paper.<\/p><p style=\"margin-bottom:20px\">Now put that identical offer in front of two buyers.<\/p><p style=\"margin-bottom:20px\"><strong>Buyer A<\/strong> is deploying a fund that closed last year. Your $3 million rides a platform with four to six years of add-ons ahead of it before anyone thinks about selling. If the platform grows and eventually trades at a scale multiple, that $3 million is the part of the deal that can outperform the cash.<\/p><p style=\"margin-bottom:20px\"><strong>Buyer B<\/strong> is deploying a fund in its ninth year. The same $3 million is far more likely to meet its liquidity event as a continuation vehicle \u2014 where the price is negotiated between the sponsor and a secondary buyer, and your sponsor is on both sides of that table.<\/p><p>Same multiple. Same headline. Same press release. A materially different asset in your hands, and none of the difference is visible in the LOI.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-11bc9c3 elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"11bc9c3\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-916ffb2 elementor-widget elementor-widget-heading\" data-id=\"916ffb2\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">IV. Why This Bites Harder Right Now<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-69ab81e elementor-widget elementor-widget-text-editor\" data-id=\"69ab81e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\">The 2026 market is unusually good at hiding this problem, because the headline numbers look calm.<\/p><p>Axial&#8217;s 2H 2026 Lower Middle Market Outlook, published in August and drawn from a July survey of 79 lower-middle-market dealmakers \u2014 40 on the buyside, 39 sell-side \u2014 found that <strong>64% expect valuation multiples to stay flat<\/strong> and <strong>87% expect deal activity to hold steady or increase<\/strong>. On the surface, a stable market.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6f1ac4f elementor-widget elementor-widget-text-editor\" data-id=\"6f1ac4f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\">Underneath, two things moved sharply. <strong>Valuation expectations were named the single biggest reason deals failed to close in the first half of 2026 by 57% of respondents \u2014 more than double the 28% recorded for deals that failed in 2025.<\/strong> And several surveyed members noted that stable headline multiples are masking a shift in deal <em>structure<\/em>: more seller financing, more earnouts, more holdbacks.<\/p><p>That is the whole point. When the multiple stays put and the structure moves, the number in your LOI stops describing your outcome. And structure is exactly where a buyer&#8217;s clock shows up.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0be3f8d elementor-widget elementor-widget-text-editor\" data-id=\"0be3f8d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"font-size:14px;color:#666;\">Axial notes its findings are directional and reflect its own member network, which skews toward $5M\u2013$100M businesses. Read them as a signal about buyer behavior, not as a valuation for any one company.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-22921e7 elementor-widget elementor-widget-text-editor\" data-id=\"22921e7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<div style=\"background: #eef3f9; border-left: 5px solid #1B4F8A; padding: 20px 24px; border-radius: 4px; margin: 8px 0;\"><strong style=\"color: #1b4f8a; font-size: 12px; letter-spacing: 1.5px; text-transform: uppercase;\">Amerivest Tip<\/strong><div style=\"margin-top: 8px; color: #444; font-style: italic;\">Ask which fund is buying you and what year it closed. It is a routine question and a credible buyer will answer it in a sentence.
