They are short on businesses they can confirm.<\/p><p>BizBuySell\u2019s Q2 2026 Insight Report counted <strong>2,117 U.S. small business transactions, down roughly 10% year over year<\/strong> \u2014 while the average cash flow multiple on the deals that did close ticked up 2%, to 2.7x, and the median sale price held within 1% of the prior year. Fewer deals, steady pricing. That is the signature of a verification bottleneck, not a demand problem.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c8cd5c8 elementor-widget elementor-widget-text-editor\" data-id=\"c8cd5c8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\">The same report describes the shortage plainly: a large pool of qualified buyers competing for a limited supply of businesses with verifiable books that can qualify for an SBA loan.<\/p><p>Read that as the working definition of \u201cready.\u201d Verifiable books. Qualifies for financing. The moment you sign, most LOIs grant the buyer a period of exclusivity. You stop talking to anyone else, and the other interested parties move on to other deals.<\/p><p><strong>Your leverage doesn\u2019t decline gradually. It inverts at a signature.<\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4a4c61a elementor-widget elementor-widget-text-editor\" data-id=\"4a4c61a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\">Then diligence begins. Every unresolved readiness item \u2014 an add-back with no receipt, a lease with no assignment clause, a customer contract that terminates on change of control \u2014 arrives as a discovery on the buyer\u2019s side of the table at exactly the moment you no longer have a competing offer to measure it against.<\/p><p>That is why the same problem costs almost nothing to fix in advance and real money to fix in diligence. Nothing about the problem changed. Your position did.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-805e4d8 elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"805e4d8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6047d51 elementor-widget elementor-widget-heading\" data-id=\"6047d51\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">III. The Five Signs<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1cf17b9 elementor-widget elementor-widget-text-editor\" data-id=\"1cf17b9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\"><strong>1. Your earnings can\u2019t be reconciled to your tax returns.<\/strong><\/p><p style=\"margin-bottom:20px\">This is the most common one, and the most expensive, because of how the arithmetic works.<\/p><p style=\"margin-bottom:20px\">Buyers don\u2019t buy your P&amp;L. They buy adjusted earnings \u2014 reported profit plus add-backs a buyer <em>agrees<\/em> are genuinely non-recurring or personal. The word doing all the work is <em>agrees<\/em>. Owner compensation above market, personal vehicles and travel, related-party rent, \u201cone-time\u201d expenses that appear in all three years: each is a line a buyer\u2019s accountant will either accept or strike.<\/p><p style=\"margin-bottom:20px\">Now run the arithmetic on your own numbers. A business with <strong>$500,000 in adjusted earnings at a 3.2x multiple prices at $1.6 million<\/strong>. If <strong>$40,000<\/strong> of add-backs can\u2019t be documented and get struck during diligence, you don\u2019t lose $40,000. You lose $40,000 times the multiple \u2014 <strong>about $128,000<\/strong>.<\/p><p style=\"margin-bottom:20px\">Every undocumented dollar of add-back is a multiplied dollar of price.<\/p><p><strong>The fix:<\/strong> reconcile P&amp;L to bank statements to tax returns for three years, and build the add-back schedule with supporting documentation as you go \u2014 not retroactively, when a buyer asks.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-367e731 elementor-widget elementor-widget-text-editor\" data-id=\"367e731\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\"><strong>2. You haven\u2019t decided how the deal will actually be paid for.<\/strong><\/p><p style=\"margin-bottom:20px\">This is the readiness gap almost nobody puts on a checklist, and right now it is the widest one in the market.<\/p><p style=\"margin-bottom:20px\">BizBuySell\u2019s Q2 2026 survey found that <strong>90% of buyers expect seller financing<\/strong> to be part of their acquisition, while <strong>only 29% of owners plan to offer it<\/strong>. Nearly half of sellers said they would not provide it at all; another 23% were undecided. Separately, <strong>78% of buyers said they expect to use SBA financing<\/strong>.<\/p><p style=\"margin-bottom:20px\">Put those together and the picture is uncomfortable but clear. The large majority of your likely buyers are arriving with a financing structure already in mind, and most sellers have not thought about theirs at all.<\/p><p style=\"margin-bottom:20px\">This matters even if you intend to be paid entirely in cash at closing, because financing structure determines who can bid. A business that fails an SBA lender\u2019s review isn\u2019t unsellable \u2014 but as one broker put it in that same report, failing an underwriting check shifts the transaction from a competitive, bank-leveraged sale into one that leans heavily on seller concessions and structured financing.<\/p><p><strong>The fix:<\/strong> have an SBA lender look at the business before you go to market, not after you have an offer in hand. And decide your position on a seller note in advance, as a strategy \u2014 rather than as a concession extracted from you in week six of diligence.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e02609a elementor-widget elementor-widget-text-editor\" data-id=\"e02609a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\"><strong>3. The things that make the business work don\u2019t transfer.<\/strong><\/p><p style=\"margin-bottom:20px\">A buyer isn\u2019t purchasing your revenue. They are purchasing the agreements that produce it, and agreements have terms.<\/p><p style=\"margin-bottom:20px\">The recurring offenders:<\/p><ul style=\"margin-bottom:20px\"><li>A lease with no remaining term, no renewal option, or no assignment language \u2014 leaving a buyer to negotiate with your landlord from zero.<\/li><li>Customer contracts with change-of-control or termination-on-assignment clauses.<\/li><li>Licenses, permits, or certifications held personally by you rather than by the entity.<\/li><li>Supplier, distribution, or franchise agreements that require consent to transfer.<\/li><li>Key employees with no agreements at all.<\/li><\/ul><p style=\"margin-bottom:20px\">Location-dependent businesses feel this hardest. <strong>Retail transaction volume fell 15% year over year in Q2 2026<\/strong>, and brokers quoted in the BizBuySell report attributed part of that to high rents and long leases making buyers cautious. The lease is frequently the largest liability in the deal \u2014 and the one item you cannot renegotiate on good terms once a buyer knows you need it.<\/p><p><strong>The fix:<\/strong> pull every material agreement and read the assignment and change-of-control language before a buyer does. Most are fixable with a conversation and an amendment \u2014 but only while you are not visibly under time pressure.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5b8f1b1 elementor-widget elementor-widget-text-editor\" data-id=\"5b8f1b1\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p style=\"margin-bottom:20px\"><strong>4. There is no second name on anything.<\/strong><\/p><p style=\"margin-bottom:20px\">Owner dependency is well-covered ground \u2014 we <a href=\"https:\/\/amerivestgroup.com\/en\/owner-dependency-kills-business-value\/\">wrote about it at length<\/a> \u2014 so the version worth adding here is what it looks like during diligence rather than in a valuation.<\/p><p style=\"margin-bottom:20px\">A buyer\u2019s real question isn\u2019t \u201chow many hours do you work?\u201d It is <strong>\u201cwho do I call on day two?\u201d<\/strong> If every answer is you \u2014 pricing decisions, the key customer relationships, the vendor who does you favors, the process that was never written down \u2014 the buyer isn\u2019t evaluating a business. They are evaluating whether they can survive your departure.<\/p><p style=\"margin-bottom:20px\"><strong>The fix:<\/strong> document the ten things only you know, put a second name on the top customer relationships, and make sure someone other than you can produce a quote, close a month, and handle an escalation.<\/p><p style=\"margin-bottom:20px\"><strong>5. You have an expectation instead of a number.<\/strong><\/p><p style=\"margin-bottom:20px\">BizBuySell\u2019s Q2 2026 survey found that <strong>52% of owners say they have an exit plan \u2014 but only 14% have completed a professional valuation<\/strong>. Half have a rough estimate. More than a third admit they have no idea what the business is worth.<\/p><p style=\"margin-bottom:20px\">An expectation you can\u2019t defend is a readiness problem, not just a pricing one. It sets the asking price, and the asking price sets your launch window \u2014 the first sixty to ninety days when the listing is new and buyer attention is at its highest. Price on a number you can\u2019t support and you spend that window attracting the wrong buyers, then reduce, then carry a listing that has gone stale.<\/p><p style=\"margin-bottom:20px\">This market is not fast enough to absorb that mistake cheaply.
